Corporate Governance Framework
JGPC’s corporate governance framework includes three functional Board committees responsible for reviewing the company’s operations within their particular areas of expertise and presenting their findings and suggestions to the Board of Directors:

With over 30 years of experience in the Water and Power sector Mohammad Abunayyan is Chairman of Abunayyan Holding and ACWA Power International. ACWA Power in 8 years has emerged as a leading developer of privately financed power generation and desalinated water production plants in the GCC, MENA, Southern Africa and Eastern Europe regions with a portfolio of assets worth US$ 23 Billion with a contracted capacity of 15,731 MW and 2.4Mm³/day of water. Mohammad Abunayyan also serves as Chairman and Board Member of many reputed companies, besides he holds a number of prestigious leadership positions helping spearhead the Kingdom’s economic development. Mohammad Abunayyan is a Member of the Advisory Committee of the Chairman of high Supreme Economic Council responsible for studying issues related to the national economy.

In addition, Mr. AlMidani is also an active Board Member in several Companies including Saudi Tabreed, Qudra Energy, Miahona, Jazan Gas Projects Company, Industrial Cities Development and Operation Company and others.
Prior to joining ACWA Holding, Mr. AlMidani was the Chief Executive Officer of Beatona Company, a Subsidiary of ACWA Holding focused on Environmental Treatment Infrastructure, Waste Management, and Recycling. Prior to that, he served as the Vice President Business Development of the Saudi Arabian Trading and Construction Company.

Before joining in Arabian Qudra he was the MEWA Minister Advisor for restructuring and privatizing the water sector from 2016, and prior to that Omar worked as the Group CEO of Miahona Holding, a company under ACWA Holding provides management and concession Services – BOO, BORT, BOOT and O&M – for urban water supply, water collection and water and wastewater treatment utilities. Omar worked as the VP of Business Development of ACWA Holding from 2012 to 2014.
Omar is a board member of various companies such as National Water Company, SWCC, Saudi Tabreed, Jazan Gas Projects Company, and GIC etc.
He holds a B.S. degree in Systems Engineering (Specialized in Industrial Engineering) on 1999 from King Fahd University of Petroleum & Minerals, Saudi Arabia.

Prior to joining Air Products in 2017, Mr. Skaf served as partner in the Middle East and North Africa Practice of Heidrick & Struggles International, Inc., where he was also a member of their global Industrial Practice. From 2011-2016, Skaf served as chief executive officer (CEO) of Gulf Cryo, a regional industrial gases group headquartered in Dubai. His career at Gulf Cryo began in 2005, when he was appointed general manager of Gulf Cryo’s subsidiary, Arabian Gases, before becoming the group’s chief operating officer and then CEO. Prior to joining Gulf Cryo, Naji spent seven years with Air Liquide, where he held various positions in Houston, Paris, and Cairo.
Mr. Skaf earned a BSc from McGill University in Montreal, Canada and an MBA from the University of Houston.

He was interacting on a daily basis with around 2000 office employees, answering their queries, working on their compensations, updating the system, he was also the intermediary between employees and HR Senior director.
